"Commercial Use" means any use of the Licensed Materials that directly or indirectly generates revenue, is performed by a for-profit entity, or is integrated into products, services, or applications offered for sale, subscription, or commercial licensing. 2. "Derivative Work" means any modification, adaptation, translation, enhancement, fine-tuning, retraining, or any work based upon the Licensed Materials that would require permission under applicable copyright law. 3. "Licensed Materials" means the Model, its weights, configuration files, tokenizer files, documentation, model card, training scripts, inference code, API implementations, and any associated files distributed by Licensor. 4. "Model" means the Content Moderation Classifier, including all trained parameters, architecture specifications, and inference logic. 5. "Model Output" means any prediction, classification, score, or result generated by the Model when processing input data. 6. "Unauthorized Modification" means any alteration to the Licensed Materials without explicit written permission, including but not limited to: weight extraction, architecture changes, distillation, or retraining. 7. "API Call" means a single inference request to the Model, regardless of input length or output complexity. 8. "End User" means any individual or entity that uses products or services incorporating the Licensed Materials. 9. "Effective Date" means the date on which this License becomes binding, either through explicit acceptance or first use of the Licensed Materials. ================================================================================ LICENSE GRANT ================================================================================ Subject to the terms and conditions of this License, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to: 1. PERMITTED USES (Free Tier): a) Research & Education: Use the Model for academic research, educational purposes, and personal non-commercial projects. b) Evaluation: Evaluate the Model for potential commercial deployment for a period not exceeding thirty (30) days from first use. c) Non-Profit: Deploy in non-profit organizations serving content safety and moderation causes, subject to prior written approval from Licensor. 2. COMMERCIAL USE (Premium License Required): Commercial Use requires a separate Premium License Agreement. Commercial Use includes, but is not limited to: a) Integration into products or services offered for sale b) Use in commercial applications or platforms c) Offering the Model as a service (SaaS, API, etc.) d) Use by for-profit organizations e) Use generating direct or indirect revenue f) Use in products serving paying customers Contact: license@siriusai.tech ================================================================================ RESTRICTIONS ================================================================================ You may NOT: 1. REDISTRIBUTION: Redistribute, sublicense, sell, lease, rent, or transfer the Licensed Materials or any Derivative Works without explicit written permission from Licensor. 2. REVERSE ENGINEERING: Reverse engineer, decompile, disassemble, or attempt to derive the source code, training data, model weights, or proprietary techniques from the Licensed Materials. 3. COMPETITIVE USE: Use the Licensed Materials to develop, train, or enhance competing products or services in the content moderation, safety, or related AI domains. 4. HARMFUL USE: Use the Model for any purpose that: a) Harms, exploits, abuses, or endangers children in any way b) Facilitates, enables, or promotes illegal activities c) Violates privacy, data protection, or child protection laws d) Discriminates against individuals or groups e) Generates intentionally misleading safety assessments f) Circumvents legitimate safety measures or moderations 5. MISREPRESENTATION: Claim ownership of the Model, misrepresent its origin, capabilities, or limitations, or remove copyright notices and attributions. 6. TRAINING DATA EXTRACTION: Attempt to extract, reconstruct, infer, or reverse-engineer the training data used to create the Model through any means, including but not limited to model inversion attacks. 7. UNAUTHORIZED MODIFICATION: Fine-tune, retrain, distill, compress, or create Derivative Works for Commercial Use without a Premium License. 8. BENCHMARKING WITHOUT CONSENT: Publish comparative benchmarks, evaluations, or performance analyses without prior written consent from Licensor. ================================================================================ ATTRIBUTION ================================================================================ Any use of the Licensed Materials must include: 1. QUOTA MANAGEMENT: Licensor implements technical measures to track and enforce API Call quotas associated with each license tier. 2. OVERAGE HANDLING: When quota limits are approached or exceeded, Licensor reserves the right to: a) Send automated usage alerts at 75%, 90%, and 100% of quota b) Throttle request rates to prevent quota overruns c) Temporarily suspend access until the next billing cycle d) Invoice for overage usage at published overage rates 3. RATE LIMITING: Licensor may implement rate limiting to ensure fair usage and system stability, including but not limited to requests per second, concurrent connections, and burst limits. 4. USAGE MONITORING: Licensee acknowledges that Licensor may monitor API usage patterns for compliance verification, capacity planning, and security purposes. ================================================================================ AUDITING RIGHTS ================================================================================ 1. COMPLIANCE VERIFICATION: Licensor reserves the right to verify compliance with this License through reasonable audit procedures. 2. AUDIT REQUEST: Upon written notice, Licensee shall provide within thirty (30) days: a) API usage logs and statistics b) Deployment configuration documentation c) Integration architecture descriptions d) Proof of appropriate End User notifications 3. SECURITY AUDITS: For Enterprise tier licensees processing sensitive data, Licensor may request evidence of: a) Data handling procedures b) Security measures implemented c) Incident response capabilities d) Compliance certifications (SOC 2, ISO 27001, etc.) 4. AUDIT COOPERATION: Licensee agrees to cooperate in good faith with reasonable audit requests. Failure to comply may result in License suspension or termination. 5. COST ALLOCATION: Standard compliance audits are at Licensor's expense. OUTPUT OWNERSHIP: Model Outputs (predictions, classifications, scores) generated by processing Licensee's data belong to the Licensee. 2. OUTPUT LIMITATIONS: Notwithstanding ownership, Licensee may NOT: a) Represent Model Outputs as legal determinations or absolute safety assessments b) Use Model Outputs as sole basis for critical content safety decisions without human review c) Claim Model Outputs constitute professional advice (legal, medical, psychological) d) Redistribute raw Model Outputs as a standalone data product 3. INPUT DATA: Licensee retains full ownership of input data. Licensor does not claim any rights to data processed through the Model. 4. NO DATA RETENTION: Standard deployment does not retain or transmit input data to Licensor. Any analytics collected are aggregated and anonymized. 5. TRAINING EXCLUSION: Licensee's data will NOT be used to train, fine-tune, or improve the Model without explicit written consent. ================================================================================ EXPORT COMPLIANCE ================================================================================ 1. EXPORT RESTRICTIONS: The Licensed Materials may be subject to export control laws and regulations of Turkey, the European Union, the United States, and other jurisdictions. 2. PROHIBITED JURISDICTIONS: You may not use, export, or re-export the Licensed Materials: a) To any country subject to comprehensive trade sanctions b) To any person or entity on restricted party lists c) For any end-use prohibited by applicable export control laws d) In jurisdictions where AI safety technology is restricted 3. COMPLIANCE RESPONSIBILITY: Licensee is solely responsible for compliance with all applicable export control laws and obtaining any required licenses or approvals. 4. AI-SPECIFIC REGULATIONS: Licensee must comply with emerging AI-specific regulations, including but not limited to: a) EU AI Act requirements for high-risk AI systems b) Local AI governance frameworks c) Content moderation technology regulations ================================================================================ WARRANTY DISCLAIMER ================================================================================ THE LICENSED MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT: - The Model will detect all harmful content - The Model will be error-free, uninterrupted, or free of vulnerabilities - The Model's predictions will be 100% accurate or complete - The Model is suitable for any particular purpose or jurisdiction - The Model will meet Licensee's specific requirements THE MODEL IS DESIGNED TO ASSIST, NOT REPLACE, HUMAN JUDGMENT IN CONTENT MODERATION DECISIONS. USERS ARE SOLELY RESPONSIBLE FOR IMPLEMENTING APPROPRIATE SAFEGUARDS, HUMAN OVERSIGHT, AND SECONDARY VERIFICATION MECHANISMS. ================================================================================ LIMITATION OF LIABILITY ================================================================================ 1. TERM: This License is effective from the Effective Date until terminated. 2. TERMINATION FOR BREACH: Licensor may terminate this License immediately upon written notice if Licensee breaches any material term. 3. TERMINATION FOR CONVENIENCE: Either party may terminate with thirty (30) days written notice for any reason. 4. EFFECT OF TERMINATION: Upon termination, Licensee must: a) Immediately cease all use of the Licensed Materials b) Delete all copies of the Model and related materials within seven (7) days c) Remove all integrations and deployments d) Certify in writing compliance with these requirements e) Pay any outstanding fees or overage charges 5. SURVIVAL: The following sections survive termination: Definitions, Restrictions, Attribution, Warranty Disclaimer, Limitation of Liability, Indemnification, Export Compliance, and Governing Law. ================================================================================ DATA PROTECTION ================================================================================ 1. LOCAL PROCESSING: The Model processes text data locally by default. No input data is transmitted to Licensor unless explicitly configured for cloud-hosted deployments. 2. REGULATORY COMPLIANCE: Licensee is solely responsible for compliance with applicable data protection laws, including but not limited to: a) General Data Protection Regulation (GDPR) b) California Consumer Privacy Act (CCPA) c) Turkish Personal Data Protection Law (KVKK) d) Children's Online Privacy Protection Act (COPPA) e) Other applicable privacy and child protection laws 3. MINOR DATA HANDLING: When processing personal information of minors, Licensee must implement: a) Age-appropriate privacy notices b) Parental consent mechanisms where required c) Data minimization principles d) Enhanced security measures e) Retention limitations 4. DATA BREACH NOTIFICATION: Licensee must notify Licensor within 72 hours of discovering any security breach involving the Licensed Materials. ================================================================================ GOVERNING LAW ================================================================================ 1. APPLICABLE LAW: This License shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to conflict of law principles. 2. JURISDICTION: Any disputes arising under this License shall be resolved exclusively in the courts of Istanbul, Turkey. 3. LANGUAGE: In case of any discrepancy between translations, the English version of this License shall prevail. 4.
